1. Introduction

These Terms and Conditions ("Terms", "Terms and Conditions") govern your relationship with

our website found at jstockapp.com and the JStock App (the "Service", “Services”) operated by

Codeimple Ltd ("us", "we", or "our").

Please read these Terms and Conditions carefully before using our Services.

Your access to and use of the Services is conditioned on your acceptance of and compliance

with these Terms. These Terms apply to all visitors, users, and others who access or use the

Services.

By accessing or using the Services we offer you agree to be bound by these Terms. If you

disagree with any part of the terms then you may not access the Service but please let us know

by emailing at support@jstockapp.com so we can try to find a solution.

2. Legal Disclaimer

Information found on jstockapp.com and in the JStock App is general information that may be

helpful but should not be construed as legal, tax, or other professional advice. Laws differ by

country and we cannot guarantee the accuracy of this information for your particular scenario.

You should consult an experienced attorney, tax professional or financial advisor concerning

your specific situation.

3. Who can use the JStock App Services?

You must be at least 18 years of age to use the Services. No individual under this age limit may

use the Services, provide any Personal Data to JStock App, or otherwise submit Personal Data

through the Services (e.g., a first name, last name, or email address without Parental Consent.

4. Communications

By using our Service, you agree to subscribe to newsletters, marketing or promotional materials

and other information we may send. However, you may opt-out of receiving any, or all, of these

communications from us by following the unsubscribe link or by emailing at

support@jstockapp.com.

5. Free Service

JStock App offers a free basic service level that is available for an unlimited period of time.

At any time and without notice, JStock App reserves the right to (i) modify the terms and

conditions of the Free Service offer, or (ii) cancel such Free Service offer.

6. Subscriptions

Additional features and premium parts of the Service are billed on a subscription basis

"Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing

(

Cycle"). Billing cycles will be set depending on the type of subscription plan you select when

purchasing a Subscription.

At the end of each Billing Cycle, your Subscription will automatically renew under the exact

same conditions unless you cancel it or JStock App cancels it. You may cancel your

Subscription renewal either through your online account management page or by contacting

support@jstockapp.com customer support team.

A valid payment method is required to process the payment for your subscription. You shall

provide JStock App with accurate and complete billing information that may include but not

limited to full name, address, state, postal or zip code, telephone number, and a valid payment

method information. By submitting such payment information, you automatically authorize

JStock App to charge all Subscription fees incurred through your account to any such payment

instruments.

Should automatic billing fail to occur for any reason, JStock App reserves the right to terminate

your access to the Service with immediate effect.

7. Fee Changes

JStock App, in its sole discretion and at any time, may modify Subscription fees for the

Subscriptions. Any Subscription fee change will become effective at the end of the then-current

Billing Cycle.

JStock App will provide you with a reasonable prior notice of any change in Subscription fees to

give you an opportunity to terminate your Subscription before such change becomes effective.

Your continued use of Service after Subscription fee change comes into effect constitutes your

agreement to pay the modified Subscription fee amount.

Refunds

We issue refunds for Contracts within

Use By Minors

30 days of the original purchase of the Contract.

Service is intended only for access and use by individuals at least eighteen (18) years old. By

accessing or using Service, you warrant and represent that you are at least eighteen (18) years

of age and with the full authority, right, and capacity to enter into this agreement and abide by all

of the terms and conditions of Terms. If you are not at least eighteen (18) years old, you are

prohibited from both the access and usage of Service unless you have Parental Consent.

10. Accounts

When you create an account for any of our Services, you must provide us with accurate and

complete information as prompted by the account creation and registration process. Otherwise,

some of our Services may not operate correctly, and we may not be able to contact you with

important notices.

You are responsible for safeguarding the password that you use to access the Service and for

any activities or actions under your password, whether your password is with our Service or a

third-party service.

You agree not to disclose your password to any third party. You must notify us immediately

upon becoming aware of any breach of security or unauthorized use of your account.

You have the right to delete your account with us by contacting us. If you choose to permanently

delete your account, the non-public Personal Data that we have associated with your account

will also be deleted

The Service and its original content, features and functionality are, and will remain, the

exclusive property of JStock App, it's subsidiaries and its licensors. The Service is protected by

copyright, trademark, and other laws of both Jamaica and foreign countries. Our trademarks

and trade dress may not be used in connection with any product or service without the prior

written consent of JStock App.

Our Service may contain links to third party web sites or services that are not owned or

controlled by JStock App.

We have no control over, and assume no responsibility for the content, privacy policies, or

practices of any third party web sites or services. We do not warrant the offerings of any of

these entities/individuals or their websites.

YOU ACKNOWLEDGE AND AGREE THAT JSTOCK APP SHALL NOT BE RESPONSIBLE OR

LIABLE, DIRECTLY OR INDIRECTLY, FOR ANY DAMAGE OR LOSS CAUSED OR ALLEGED

TO BE CAUSED BY, OR IN CONNECTION WITH USE OF OR RELIANCE ON ANY SUCH

CONTENT, GOODS OR SERVICES AVAILABLE ON OR THROUGH ANY SUCH THIRD

PARTY WEB SITES OR SERVICES.

WE STRONGLY ADVISE YOU TO READ THE TERMS AND CONDITIONS AND PRIVACY

POLICIES OF ANY THIRD PARTY WEB SITES OR SERVICES THAT YOU VISIT.

4. Termination

We may terminate or suspend your account and bar access to Service immediately, without

prior notice or liability, under our sole discretion, for any reason whatsoever and without

limitation, including but not limited to a breach of Terms.

Upon termination, your right to use the Service will immediately cease. I f you wish to terminate

your account, you may simply discontinue using the Service.

All provisions of Terms which by their nature should survive termination shall survive

termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity

and limitations of liability.

15. Indemnification

You agree to defend, indemnify and hold harmless JStock App, it's subsidiaries and its licensee

and licensors, and their employees, contractors, agents, officers and directors, from and against

any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses

(including but not limited to attorney'’s fees), resulting from or arising out of a) your use and

access of the Service, by you or any person using your account and password, or b) a breach of

these Terms.

Limitation Of Liability

EXCEPT AS PROHIBITED BY LAW, YOU WILL HOLD US AND OUR OFFICERS,

DIRECTORS, EMPLOYEES, AND AGENTS HARMLESS FOR ANY INDIRECT, PUNITIVE,

SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGE, HOWEVER IT ARISES

(INCLUDING ATTORNEYS’ FEES AND ALL RELATED COSTS AND EXPENSES OF

LITIGATION AND ARBITRATION, OR AT TRIAL OR ON APPEAL, IF ANY, WHETHER OR

NOT LITIGATION OR ARBITRATION IS INSTITUTED), WHETHER IN AN ACTION OF

CONTRACT, NEGLIGENCE, OR OTHER TORTIOUS ACTION, OR ARISING OUT OF OR IN

CONNECTION WITH THIS AGREEMENT, INCLUDING WITHOUT LIMITATION ANY CLAIM

FOR PERSONAL INJURY OR PROPERTY DAMAGE, ARISING FROM THIS AGREEMENT

AND ANY VIOLATION BY YOU OF ANY FEDERAL, STATE, OR LOCAL LAWS, STATUTES,

RULES, OR REGULATIONS, EVEN IF COMPANY HAS BEEN PREVIOUSLY ADVISED OF

THE POSSIBILITY OF SUCH DAMAGE. EXCEPT AS PROHIBITED BY LAW, IF THERE IS

LIABILITY FOUND ON THE PART OF COMPANY, IT WILL BE LIMITED TO THE AMOUNT

PAID FOR THE PRODUCTS AND/OR SERVICES, AND UNDER NO CIRCUMSTANCES WILL

THERE BE CONSEQUENTIAL OR PUNITIVE DAMAGES.

17. Error Reporting and Feedback

You may provide us either directly at support@jstockapp.com or via third party sites and tools

with information and feedback concerning errors, suggestions for improvements, ideas,

problems, complaints, and other matters related to our Service (“Feedback”). You acknowledge

and agree that: (i) you shall not retain, acquire or assert any intellectual property right or other

right, title or interest in or to the Feedback; (ii) Company may have development ideas similar to

the Feedback; (iii) Feedback does not contain confidential information or proprietary information

from you or any third party; and (iv) Company is not under any obligation of confidentiality with

respect to the Feedback. In the event the transfer of the ownership to the Feedback is not

possible due to applicable mandatory laws, you grant Company and its affiliates an exclusive,

transferable, irrevocable, free-of-charge, sub-licensable, unlimited and perpetual right to use

(including copy, modify, create derivative works, publish, distribute and commercialize)

Feedback in any manner and for any purpose.

18. Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS

AVAILABLE" basis.

The Service is provided without warranties of any kind, whether express or implied, including,

but not limited to, implied warranties of merchantability, fitness for a particular purpose,

non-infringement or course of performance.

JStock App, its subsidiaries, affiliates, and its licensors do not warrant that a) the Service will

function uninterrupted, secure or available at any particular time or location; b) any errors or

defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the

results of using the Service will meet your requirements.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of Jamaica, which

governing law applies to agreement without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of

those rights. If any provision of these Terms is held to be invalid or unenforceable by a court,

the remaining provisions of these Terms will remain in effect. These Terms constitute the entire

agreement between us regarding our Service and supersede and replace any prior agreements

we might have had between us regarding Service.

20. Changes

We reserve the right to withdraw or amend our Service, and any service or material we provide

via Service, in our sole discretion without notice. We will not be liable if for any reason all or any

part of Service is unavailable at any time or for any period. From time to time, we may restrict

access to some parts of Service, or the entire Service, to users, including registered users.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a

revision is material we will try to provide at least 30 days notice prior to any new terms taking

effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to

be bound by the revised terms. If you do not agree to the new terms, please stop using the

Service

21. Waiver And Severability

No waiver by JStock App of any term or condition set forth in the Terms shall be deemed a

further or continuing waiver of such term or condition or a waiver of any other term or condition,

and any failure of JStock App to assert a right or provision under the Terms shall not constitute

a waiver of such right or provision.

If any provision of the Terms is held by a court or other tribunal of competent jurisdiction to be

invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to

the minimum extent such that the remaining provisions of Terms will continue in full force and

effect.

22. Acknowledgement

BY USING THE SERVICE OR OTHER SERVICES PROVIDED BY US, YOU ACKNOWLEDGE

THAT YOU HAVE READ THESE TERMS OF SERVICE AND AGREE TO BE BOUND BY

Cloud storage providers - we use cloud computing platforms that securely store all of our

data, including customer details.

Email service providers - in order to send you marketing content and transactional

emails, we share your details with our email service providers.

Social Media Platforms - We may make your name and email address available to

companies in order to advertise and market our services to you through other platforms

on the internet (e.g. Facebook).

Analytics tools - we use analytics tools to track the way that users interact with our

Profiling tools - we use profiling tools to understand how you engage with our Services

and show you content we think will be most relevant to you, based on our understanding

of your interests and preferences.

our customers better so that we may provide you with the best possible website,

products and customer service experience. We may share certain information about our

customers to facilitate this process.

managed by the PCI Security Standards Council, which is a joint effort of brands like Visa,

Mastercard, American Express and Discover. PCI-DSS requirements help ensure the secure

handling of payment information.

Our Service may contain links to other sites that are not operated by us. If you click a third party

link, you will be directed to that third party’s site. We strongly advise you to review the Privacy

We have no control over and assume no responsibility for the content, privacy policies or

Our Services are not intended for use by children under the age of 18 without parental consent.

We do not knowingly collect personally identifiable information from Children under 18 who have

not gotten the consent of their parents or legal guardian. If you become aware that a Child has

provided us with Personal Data without Parental Consent, please contact us. If we become

aware that we have collected Personal Data from Children without verification of parental
